    1. Acceptance of Terms

    By accessing and using the services provided by PRISC GROUP ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

    2. Services Description

    PRISC GROUP provides professional IT services including but not limited to:

    • AI-powered business solutions and integrations
    • Cybersecurity consulting and implementation
    • Cloud infrastructure design and management
    • Network design and support services
    • System monitoring and maintenance
    • Technology consulting and strategic planning
    • Vendor application integration services
    • Hosted software products, including the PRISC Client Command Center
    • Agentic automation subscriptions built and operated by PRISC GROUP

    3. AI-Assisted Services

    PRISC GROUP uses commercial AI models to help deliver services, including drafting proposals, service agreements, and automation logic. All AI processing runs under commercial API terms that prohibit the provider from training models on client data. We never use client data to train AI models. Zero Data Retention handling is available from our AI providers upon written request. Outbound actions produced by AI systems are subject to human review and approval gates. Clients remain responsible for reviewing deliverables and for final business decisions.

    4. Hosted Products and Acceptable Use

    Hosted products such as the Client Command Center require an individual account protected by multi-factor authentication. Usage is subject to fair-use limits and the caps of your plan. We may suspend accounts that abuse the platform, share credentials, or attempt to bypass security controls. Scheduled maintenance windows may briefly interrupt availability. Current service status, incident history, and scheduled maintenance announcements are published at status.priscgroup.com.

    5. Service Agreements

    Specific services will be detailed in separate Service Agreements or Statements of Work (SOW). These documents will specify:

    • Scope of work and deliverables
    • Timeline and milestones
    • Pricing and payment terms
    • Support and maintenance provisions
    • Service level agreements (SLAs)

    6. Payment Terms

    Unless otherwise specified in your Service Agreement:

    • Payment is due within 30 days of invoice date
    • Late payments may incur a 1.5% monthly service charge
    • Services may be suspended for accounts past due beyond 60 days
    • All prices are subject to applicable taxes
    • Refunds are handled on a case-by-case basis as outlined in individual agreements

    Recurring Billing

    Ongoing services are billed as a recurring monthly retainer, charged in advance on the schedule set in your Service Agreement, and any one-time setup fee is due upon execution. Unless your Service Agreement states otherwise, the recurring monthly retainer begins at Activation (when the contracted system is live and confirmed as described in your Service Agreement), while any one-time setup fee is due upon execution. By enrolling, you authorize PRISC Group Inc. to automatically charge your designated payment method (credit card or ACH bank debit) on a recurring basis until the Agreement is terminated under the Termination section.

    Annual prepayment plans include the first month free as described on our pricing page.

    Payment Processing

    Payments are processed securely by Stripe, Inc., our third-party payment processor. PRISC Group Inc. does not store your full card or bank-account numbers; that data is handled by Stripe under its own terms and PCI-DSS compliance. By providing payment information, you also agree to Stripe's applicable terms.

    Failed Payments

    If a recurring charge fails, we may retry the charge and may suspend services until the outstanding balance is resolved.

    7. Required Software Accounts

    Our automation services are built on n8n and related platforms. For automation engagements, you are required to maintain your own n8n account (Pro plan or higher) and to authorize PRISC Group Inc. as a developer on it (for example, by inviting developer@priscgroup.com). You own your n8n account, your workflows, and your data; PRISC Group Inc. acts solely as a consultant and managed operator and does not own your automations or data. You are responsible for the subscription cost of your own software accounts unless your Service Agreement states otherwise.

    8. Client Responsibilities

    Clients agree to:

    • Provide accurate and complete information necessary for service delivery
    • Grant appropriate access to systems and facilities as required
    • Maintain backup copies of critical data
    • Follow security recommendations and best practices
    • Notify us promptly of any issues or concerns
    • Comply with all applicable laws and regulations

    9. Confidentiality

    Both parties acknowledge that they may have access to confidential information. We agree to maintain strict confidentiality of all client data and business information. Clients agree to protect any proprietary methodologies or tools disclosed by PRISC GROUP.

    10. Limitation of Liability

    PRISC GROUP's liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service in question. We are not liable for:

    • Indirect, consequential, or incidental damages
    • Loss of profits, data, or business opportunities
    • Damages resulting from client's failure to follow recommendations
    • Third-party actions or system failures beyond our control

    11. Service Level Commitments

    We strive to provide excellent service with the following general commitments:

    • 2-hour response time for critical issues during business hours
    • Regular system monitoring and proactive maintenance
    • Professional, knowledgeable support staff
    • Continuous improvement of service delivery
    • Notification of confirmed security incidents affecting your data within 72 hours

    12. Termination

    Either party may terminate services with 60 days written notice. Immediate termination may occur in cases of:

    • Material breach of agreement
    • Non-payment of fees
    • Illegal or unethical conduct
    • Mutual agreement between parties

    13. Intellectual Property

    Clients retain ownership of their data and business information. PRISC GROUP retains ownership of our methodologies, tools, and general knowledge. Custom solutions developed specifically for clients will be addressed in individual agreements.

    14. Governing Law

    These terms are governed by the laws of the State of Florida. Any disputes will be resolved through mediation or arbitration in Orange County, Florida.

    15. Electronic Acceptance and Signatures

    Proposals and agreements may be accepted electronically through our confirmation pages and signed electronically through DocuSign. Electronic acceptances and signatures are binding to the same extent as handwritten signatures.

    17. Changes to Terms

    We reserve the right to modify these terms at any time. Significant changes will be communicated to clients with 30 days notice. Continued use of our services constitutes acceptance of updated terms.
